B. Background and need for the Committee

• Bughole, a DApp developer for community liquidity and on-chain governance participation, created community-based policies during the mainnet integration proposal period, contributing to the merger of the integrated mainnet.
• Since July 2023, Bughole has focused on revitalizing the community side ecosystem, including the Finschia validators. As of May 2024, it remains the top validator with 30% community-based delegation, playing a major role in mainnet governance.
• Aiming to expand the KAIA ecosystem, we intend to operate a Governance DAO fund program, encouraging community participation and providing community liquidity to DApps inside and outside the ecosystem to promote growth.

(1) (Market) Activating Native Tokens Through Community Narratives

• A highly active community mainnet positively impacts the trading volume and liquidity of the native tokens.
• DEGEN, a token rewarded for activity on the decentralized social networking app Warpcast, launched in January this year, saw rapid growth in holder addresses and trading volume, doubling the TVL of the BASE chain within a month.

(2) (Market) Enabling Participation of Global Community Leaders

• Direct contact and relationship building between the KAIA Foundation and CEXs and VCs in various Asian countries can consume additional resources.
• Providing opportunities for local community leaders, such as those in Web3 education and gaming builder groups, to participate as DAO fund partners can more efficiently attract local communities globally to KAIA.
• Bughole demonstrated this by creating a structure where the Indonesian local community, comprising 200 users, led community events, showcasing the potential for similar success globally.

(3) (Foundation) Enhancing Transparency to Address Community Dissatisfaction

• The new DAO fund Committee ensures community understanding and trust through transparent investment processes, achieving effective results with a smaller budget compared to previous methods.
• Information about investment targets, team plans, and proposers is disclosed, allowing the community to transparently understand and support investment decisions, reducing past dissatisfaction caused by information gaps.

(4) (Foundation) Building the Finschia Community Through Rewards and Communication

• As a major validator of the Finschia Foundation, Bughole received 70 billion KRW in delegation within three days and maintained a 97% user retention rate until May 2024, remaining the top validator.
• Bughole quickly structured communities on the Finschia mainnet, replicating its success in structuring Ethereum-based communities, demonstrating its unique capabilities in building and operating communities.
• We aim to bring together existing communities and local leaders from KAIA and external ecosystems, as well as DApp operators, leveraging Bughole’s proven community-building strategies.

C. Community-driven Business

(1) The Committee-driven DAO fund invests in projects aimed at revitalizing the integrated mainnet ecosystem and expanding the utility of the integrated mainnet native token.

(2) The goal of the DAO fund is to achieve high investment returns and support the growth of invested projects through active community participation, feedback, and support from the Committee, thereby growing the entire mainnet ecosystem.

(3) The investment period of the DAO fund is three years, aiming to invest the total fund amount within this period.

(4) The DAO fund primarily invests in Seed and Series A stage projects, with investment amounts ranging from USD $50k to $300k per project.

D. Expectations

(1) Economic contribution

• Committee members and DAO fund investments promote the utility and value of the native token, increasing demand for the integrated mainnet native token and driving long-term value appreciation.

(2) Industrial contribution

• Committee members identify and nurture promising projects, expanding the mainnet ecosystem and absorbing local communities related to these projects, creating a virtuous cycle.

(3) Social contribution

• The core Committee community members, being global communities, can initiate offline meetups worldwide, creating KAIA’s social brand value through on-chain activities interacting with offline communities.
• For instance, in the Bugcity Indonesia community, a $200 activity grant enabled local network activities like hosting parties during Ramadan, illustrating the potential for similar initiatives globally.

2. Operation System

A. Operational Structure

(1) Committee Member

• New Committee members require a minimum of 75% agreement from existing members to join.
• If there are four or fewer participants, the foundation is granted one voting right to ensure fair membership assessment.

(2) Partner

• Partners must receive a minimum of 75% agreement from Committee members to be selected.
• It is proposed that candidates serve as DAO partners before being considered for Committee membership.

B. Compensation Structure

(1) Management fee: An annual 2% of the total DAO fund formation amount is paid to the Chairperson as revenue for Committee operations.

(2) Profit distribution: Realized investment profits are distributed as follows:

• DAO Treasury: 60%
• Chairperson: 20%
• Integrated Mainnet Foundation: 10%
• Partner or Committee member (who initially proposed the profit-generating project): 10%

(3) Profit distribution timeline: At the end of each quarter, the fund’s quarterly report is reviewed, and any realized profits are distributed within one month after sharing the report, according to the above distribution ratio.

C. Currency

(1) The annual budget of the DAO fund is based on the US dollar value of the integrated network native token at the time of budget approval.

• The corresponding token amount is transferred to the DAO fund wallet at the time of budget approval.

(2) Budget execution primarily uses the network native token. If payment in another currency is necessary, the details must be shared with the Committee before establishing contractual relationships.

3. Operation Budget

• The fund’s budget will be provided by the Kaia Ecosystem Fund (KEF) and executed according to the annual budget plan approved by the Committee.
• Assuming the initial DAO fund target formation amount is US $7.3M, with a total investment allocation period of three years, the budget for the first year, including the investment execution plan, is proposed as follows:

• The grant amount within the confirmed budget is the maximum payment scale. If the actual quarterly grant payment is less, the unpaid amount is added to the ‘Investment Execution’ fund.

A. Oversight & Accountability

(1) The KEF wallet address is public, ensuring transparent disclosure of budget execution destinations, timing, and amounts.

(2) The Chairperson compiles and submits a quarterly report on fund budget execution to the Committee within one month after the end of each quarter, followed by an AMA session.

4. Operational Period and Evaluation

A. Committee Inauguration

(1) The Committee’s operation begins with the official launch of KAIA.

B. Committee Performance Evaluation

(1) To establish a performance-based DAO fund management culture, fund KPIs are reviewed annually.

(2) Dissolution

• If 80% or more of the foundation, existing members, and partners evaluate the Committee as ‘underperforming’ based on the KPI achievement, the Chairperson may be replaced, or the Committee dissolved.
• For contracted service teams, if 80% or more of the foundation, existing members, and partners evaluate them as ‘underperforming’ based on the quarterly evaluation report, the contract may be terminated.

(3) Fund KPIs are divided into two categories:

• Investment Performance: If the FDV growth rate of the invested projects is in the negative (-) range, it may be evaluated as ‘underperforming.’
• Ecosystem Activity: The foundation and Committee agree on specific ecosystem activation measures (e.g., number of events, hackathons) quarterly and evaluate the performance on a 5-point scale. An average score below 2.5 over a year may be deemed ‘underperforming.’

5. Expected Challenges

A. Market Volatility

• Investment execution and fund budget execution aim to primarily use the integrated mainnet native token, actively agreeing on lock-up periods during the contract stage to limit free trading by the token recipients.

B. Communication Restriction

• Given the remote nature of Committee communication, timely information updates are crucial. A fund operation website will be developed to transparently handle investment proposals, voting, and reporting.

• 실제로 버그시티 인도네시아 커뮤니티에서는 $200 활동 지원금으로도 버그시티 커뮤니티의 주최로 라마단 기간 친구들을 초대하여 파티를 여는 등 지역 네트워크 활동이 활발하게 일어나고 있습니다.

2. 운영 방식

A. Committee 운영 체계 및 시스템

(1) Committee member

• 새로운 Committee member는 Committee 구성원의 동의를 최소 75% 이상 받아야 입회할 수 있습니다.
• 단, Committee member 참여자가 4개 주체 이하일 경우 재단에 투표권 1개를 부여하여 공정한 Committee member 심사 기준으로 진행합니다.

(2) Partner

• Partner로 선정되기 위해서 Committee 구성원의 동의를 최소 75% 이상 받아야 합니다.
• Committee member로 선정되기 위해서는 Partner로서 DAO 활동을 선행하는 것을 제안합니다.

B. 보수 체계

(1) 관리 보수 : DAO펀드 총 결성액 대비 연 2%를 Chairperson에 Committee 운영에 대한 수익으로 지급합니다.

(2) 수익 분배 : 실현된 투자 수익에 대해 아래와 같이 Committee 구성원에게 분배합니다.

• DAO Treasury : 60%
• Chairperson : 20%
• 통합 메인넷 재단 : 10%

C. 통화 체계

(1) 매년 DAO 펀드의 예산은 예산 승인 시점에 통합네트워크 네이티브 토큰의 달러 가치에 상응하는 네이티브 토큰 개수를 기준으로 합니다.

• 해당 토큰은 예산 승인 시점에 DAO 펀드의 지갑으로 전액 전송합니다.

(2) 예산 집행은 통합네트워크 네이티브 토큰을 지급하는 것을 기본으로 합니다. 네이티브 토큰이 아닌 다른 화폐로 지급해야 할 경우에는 계약 관계를 맺기 전에 상세 내용을 Committee에 공유해야 합니다.

3. 운영 예산

• 펀드의 예산은 Kaia Ecosystem Fund(KEF)에서 지급될 예정이며 Committee에서 승인받은 1년 단위의 예산 계획에 따라 집행됩니다.
• 첫 DAO 펀드의 목표 결성액을 100억 원(US $7.3M)이라 가정하고, 총투자 집행 기간을 3년으로 가정한 뒤, 3년 중 첫 해 1년의 예산(투자금 집행 계획 포함)을 아래와 같이 제안합니다.
• DAO 펀드의 1년 예산에 대한 운영 규모, 예산 사용 카테고리, 사용 계획을 아래 표와 같이 정리하였습니다.

A. 관리 절차

(1) KEF 지갑 주소가 공개되어 있어 예산 집행처, 집행 시기, 집행 금액 모두 투명하게 공개됩니다.

(2) 펀드 예산 집행에 대한 내용을 정리하여 Chairperson이 분기 보고서를 작성하여 분기 마감 후 1개월 이내에 Committee에 서류로 제출하고 AMA를 진행합니다.

4. 운영 기간 및 평가

A. Committee 출범

(1) KAIA의 공식 출범과 함께 Committee 운영 또한 시작됩니다.

B. Committee 성과 평가

(1) 성과 기반의 DAO 펀드 운용 문화를 정착시키기 위해 펀드 KPI를 1년마다 점검합니다.

(2) 해산

• 해당 KPI를 Committee가 달성하였는지에 대해 재단, 기 멤버, 파트너들의 80% 이상이 ‘성과미달’ 평가를 내릴 경우에는 Committee의 Chairperson을 변경하거나 Committee 자체를 해산할 수 있습니다.
• DAO 펀드와 계약한 용역팀의 경우, 분기 평가 보고서를 바탕으로 재단, 기 멤버, 파트너들의 80% 이상이 ‘성과미달’ 평가를 내릴 경우에는 계약을 종료합니다.

(3) 펀드 KPI는 두 가지 카테고리로 구성합니다.

• 투자 성과 : 투자한 프로젝트의 FDV 성장률이 손실(-) 구간에 있으면 ‘성과 미달’로 평가될 수 있습니다.
• 생태계 활성화 : 분기별 재단과 Committee가 원하는 생태계 활성화 방안(예: 이벤트 횟수, 해커톤 횟수 등)을 구체적으로 합의하고, 분기 말에 생태계 활성화 성과에 대해 5점 척도로 평가하여 1년 평균 2.5점 미만일 경우 ‘성과 미달’로 평가될 수 있습니다.

5. 운영 제약 조건 및 해결 방안

A. 시장 변동성

• 투자 집행, 펀드 예산 집행 등에 있어 최대한 통합 메인넷 네이티브 토큰으로 지급하고 네이티브 토큰 수령 주체가 네이티브 토큰을 자유롭게 매매할 수 있는 기간을 제한하는 락업 기간을 적극적으로 계약 단계에서 합의합니다.

B. Committee 구성원 간의 소통

• 원격으로 이뤄지는 Committee의 소통 특성상 정보 업데이트가 중요하므로 펀드 운용 웹사이트를 구축하여 웹사이트에서 투명하게 투자 제안, 투표, 보고 등을 진행합니다.
