B. Background and need for the Committee

  • Bughole, a DApp developer for community liquidity and on-chain governance participation, created community-based policies during the mainnet integration proposal period, contributing to the merger of the integrated mainnet.
  • Since July 2023, Bughole has focused on revitalizing the community side ecosystem, including the Finschia validators. As of May 2024, it remains the top validator with 30% community-based delegation, playing a major role in mainnet governance.
  • Aiming to expand the KAIA ecosystem, we intend to operate a Governance DAO fund program, encouraging community participation and providing community liquidity to DApps inside and outside the ecosystem to promote growth.

  • Committee members identify and nurture promising projects, expanding the mainnet ecosystem and absorbing local communities related to these projects, creating a virtuous cycle.

(3) Social contribution

  • The core Committee community members, being global communities, can initiate offline meetups worldwide, creating KAIAโ€™s social brand value through on-chain activities interacting with offline communities.
  • For instance, in the Bugcity Indonesia community, a $200 activity grant enabled local network activities like hosting parties during Ramadan, illustrating the potential for similar initiatives globally.

2. Operation System

A. Operational Structure

(1) Committee Member

  • New Committee members require a minimum of 75% agreement from existing members to join.
  • If there are four or fewer participants, the foundation is granted one voting right to ensure fair membership assessment.

(2) Partner

  • Partners must receive a minimum of 75% agreement from Committee members to be selected.
  • It is proposed that candidates serve as DAO partners before being considered for Committee membership.

B. Compensation Structure

(1) Management fee: An annual 2% of the total DAO fund formation amount is paid to the Chairperson as revenue for Committee operations.

(2) Profit distribution: Realized investment profits are distributed as follows:

  • DAO Treasury: 60%
  • Chairperson: 20%
  • Integrated Mainnet Foundation: 10%
  • Partner or Committee member (who initially proposed the profit-generating project): 10%

(3) Profit distribution timeline: At the end of each quarter, the fundโ€™s quarterly report is reviewed, and any realized profits are distributed within one month after sharing the report, according to the above distribution ratio.

C. Currency

(1) The annual budget of the DAO fund is based on the US dollar value of the integrated network native token at the time of budget approval.

  • The corresponding token amount is transferred to the DAO fund wallet at the time of budget approval.

(2) Budget execution primarily uses the network native token. If payment in another currency is necessary, the details must be shared with the Committee before establishing contractual relationships.

3. Operation Budget

(2) Dissolution

  • If 80% or more of the foundation, existing members, and partners evaluate the Committee as โ€˜underperformingโ€™ based on the KPI achievement, the Chairperson may be replaced, or the Committee dissolved.
  • For contracted service teams, if 80% or more of the foundation, existing members, and partners evaluate them as โ€˜underperformingโ€™ based on the quarterly evaluation report, the contract may be terminated.

(3) Fund KPIs are divided into two categories:
